1. Definitions

“Agreement” or “Terms” means these Terms & Conditions.
“On Your Terms” is a publication brand owned and operated by Media Miami LLC.
“Services” means all content, information, news, data, emails, SMS messages, or links, however provided, by On Your Terms.
“You” or “your” refers to all viewers, subscribers, and users of any of the Services.

2. Agreement to Terms

The Services are owned and operated by Media Miami LLC. By accessing the Services, subscribing to our emails, or opting in to our SMS program, you agree to abide by these Terms. If you do not agree, you may not use the Services. We may change these Terms at our discretion, and material changes will be communicated via email or posted on our website with an updated “Last Updated” date. Continued use of the Services after changes take effect constitutes acceptance of the revised Terms.

3. Eligibility & Registration

By using the Services, you represent that you are at least 18 years of age and legally able to enter into a binding agreement. You agree to provide accurate and current information when subscribing and to keep it up to date. We reserve the right to suspend or terminate access if we have reasonable grounds to believe registration information is false, outdated, or incomplete.

4. Nature of Content. No Financial Advice

On Your Terms content is provided for informational and educational purposes only and is not intended as investment, financial, tax, or legal advice. Nothing in our Services should be construed as a recommendation, solicitation, or offer to buy or sell any security or financial instrument. We are not registered brokers, dealers, or investment advisers. You should consult a licensed financial professional before making any financial decision. We are not responsible for any loss or damage resulting from reliance on information contained in the Services.

5. Accuracy of Information

We attempt to provide accurate and current information but do not guarantee the accuracy, completeness, or timeliness of any content. Information may contain errors or omissions and may change without notice. Forward-looking statements about markets, companies, or economic conditions are inherently uncertain and actual outcomes may differ materially.

6. Intellectual Property

All content, branding, and materials made available through the Services are owned by Media Miami LLC or its licensors and are protected by applicable intellectual property laws. You may not copy, reproduce, redistribute, resell, or create derivative works from our content without our prior written consent, except for personal, non-commercial use.

7. SMS Text Messaging Program

Our SMS text messaging program is governed by our SMS Terms of Service (https://onyourtermsfinance.com/sms-terms), which are incorporated into these Terms by reference. If there is a conflict between these Terms and the SMS Terms of Service with respect to the SMS program, the SMS Terms of Service control.

8. Advertising & Sponsorship Disclosures

On Your Terms may include affiliate links, sponsored content, and partner promotions to support our operating costs. Sponsored content will be reasonably identified as “Sponsored,” “Advertisement,” or similar. We may receive compensation when you click a link or make a purchase through an affiliate link. We do not necessarily endorse advertised products or services.

9. Unsubscribing from Email

You may unsubscribe from our email newsletter at any time using the unsubscribe link included in every email. Unsubscribing from email does not automatically unsubscribe you from SMS, and vice versa; each channel must be opted out separately.

10. Disclaimer of Warranties

THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE,” WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, TO THE FULLEST EXTENT PERMITTED BY LAW, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE.

11. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY LAW, MEDIA MIAMI LLC SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, PUNITIVE, OR CONSEQUENTIAL DAMAGES ARISING FROM YOUR USE OF THE SERVICES, INCLUDING LOSS OF PROFITS, DATA, OR GOODWILL, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. OUR TOTAL LIABILITY FOR ANY CLAIM SHALL NOT EXCEED THE AMOUNT, IF ANY, YOU PAID US IN THE PRECEDING TWO (2) MONTHS.

12. Indemnification

You agree to indemnify and hold harmless Media Miami LLC, its officers, employees, and affiliates from any claim arising out of your use of the Services or your violation of these Terms.

13. Governing Law & Disputes

These Terms are governed by the laws of the State of Delaware, United States, without regard to conflict of law principles. Any dispute arising out of or relating to these Terms shall be resolved through binding arbitration or in the state or federal courts located in New Castle County, Delaware, and you consent to such jurisdiction and venue.
